Linking & Permissions
These Linking and Permissions terms apply to any person or entity (“you”) who wishes to create a hyperlink to a website operated by A Future Corporation Pty Ltd (ACN 078 538 002) (“FC”), or to distribute materials, utilities or downloadable content made available by FC (collectively “Materials”). These terms supplement, and should be read together with, FC’s Terms of Use, which govern use of FC’s websites.
1. Materials
Intellectual-property rights in the Materials remain vested in their respective lawful owners. FC grants permission under these terms only to the extent that it has authority to do so; nothing in these terms grants any right in materials for which another person is the licensor or rights holder.
2. Permitted Linking
Subject to these terms, you may create ordinary hyperlinks to pages of FC’s websites, provided that: the link is not misleading or deceptive and does not falsely imply any endorsement, sponsorship, partnership, approval, agency or affiliation by or with FC; the link text accurately describes the destination and does not use any trade mark in a manner likely to cause confusion; you do not frame, mirror, scrape, copy or republish website content without prior written consent; the destination page is displayed in full, including its navigation, branding and copyright notices; and your website does not contain content that is unlawful, defamatory, obscene, threatening, infringing or otherwise inappropriate. Ordinary lawful linking in accordance with this Section does not require individual written permission.
3. Distribution of Downloadable Materials
Nothing in these terms grants any general right to distribute Software. Any distribution of Software remains subject to the applicable Software License Agreement (EULA), to express authorisation from FC or the relevant lawful rights holder, and to any applicable authorised-channel agreement. Where FC authorises you in writing to distribute particular Materials, you must: distribute them only in unmodified form and only as expressly authorised; include all applicable copyright, trade-mark and licensing notices; not sell, sublicense, rent or otherwise commercially exploit them except as expressly authorised in writing; and not remove, alter or obscure any proprietary notice. A permission granted by FC does not extend to software or content for which another person is the licensor or rights holder.
4. No Transfer of Title or Rights
Any permission under these terms is a limited permission only and transfers no title, ownership, copyright or other intellectual-property right to you. All rights not expressly granted are reserved by their respective lawful owners.
5. Trade Marks
These terms do not grant any right to use trade marks, logos, brand marks or product names beyond ordinary textual identification of the linked destination. Any further use of a trade mark, logo or other protected brand element remains subject to the applicable trade-mark notices (see FC’s Trademarks page) and to the prior written permission of the relevant lawful owner, except to the extent otherwise permitted by applicable law.
6. Revocation
FC may, where reasonably appropriate (including where these terms are breached, where a link or distribution is misleading or unlawful, or where required by law), withdraw a specific permission granted under these terms by written notice. Upon withdrawal you must promptly remove the relevant links and cease distribution of the relevant Materials. A permission terminates automatically if you materially breach these terms.
7. Warranties and Liability
The Materials are made available on an “as is” and “as available” basis. The warranty disclaimers, exclusions and limitations of liability set out in FC’s Terms of Use apply to your access to and use of FC’s websites and the Materials, and are not duplicated or varied by these terms. Nothing in these terms excludes, restricts or modifies any right or liability that cannot lawfully be excluded, restricted or modified under applicable law.
8. Third-Party Links
FC’s websites may contain links to third-party websites. Such links are provided for convenience only and do not imply endorsement. FC is not responsible for the content, privacy practices or availability of any third-party website.
9. Governing Law
These terms are governed by the laws of the State of Victoria and, to the extent applicable, the laws of the Commonwealth of Australia. Any dispute arising under or in connection with these terms is subject to the exclusive jurisdiction of the courts of Victoria, Australia, subject to any mandatory jurisdictional right available to you under applicable law that cannot lawfully be excluded.
